PAYMENT TERMS

• The above Commercial Proposal is for the subscription of Pure Skies for indoor requirement.
• GST will be extra, as applicable on the above commercial rate.
• Payment terms: 100% advance along with the Purchase Order.
• Delivery: 6 weeks from the date of Confirmed order & 100% payment receipt.
• *For the replacement of sensors, any hardware replacements due to wear and tear post the warranty period and the TA/DA for the above-mentioned visits, customer will be billed as per actuals. 
• *TA/DA of the Engineer for the L3 Support (on-site) or Maintenance event for one annual visit per year is inclusive. 

IMPORTANT NOTE:

Unless otherwise stated, the buyer of the Pure Skies System shall pay the entire amount due, on the date the Purchase Order is placed.

DELIVERY OF PURE SKIES

• Product shall be delivered to the buyer, within six weeks from the date of receipt of the payment on the purchase order to the location stated.
• Devic Earth Pvt Ltd. shall notify the buyer in case of any delays that may affect the expected delivery date.
• Transit insurance will be provided up to delivery of product at buyer’s site. 
• Risk of loss: Once the Pure Skies System is delivered to the above-mentioned location, the buyer shall assume all the responsibility of the Pure Skies System for the risk, loss, or damage. 
• The buyer shall immediately examine the delivered Pure Skies System and inform Devic Earth Pvt Ltd. within one day from the date of delivery, for any defects or damage on the Pure Skies System that are apparent.

PRODUCT LIABILITY

Devic Earth Pvt Ltd. shall assume the responsibility for any lack of conformity in Pure Skies System until the product is delivered to the buyer.

WARRANTY

• Devic Earth Pvt. Ltd. will provide warranty to cover the Air Pollution Control Equipment for one year from the date of installation. 
• Any maintenance due to manufacturing defect is covered under warranty. 
• The Warranty for the Air Quality Monitors are covered by Oizom Instruments Pvt Ltd. (as applicable) for a period of 1 year. It is not covered by Devic Earth Pvt Ltd.

REFUND OR CANCELLATION POLICY

• No refunds. The buyer will be assumed to have accepted the Pure Skies System unconditionally except in cases of late payment due to bulk purchase or a claim that Pure Skies System are defective within the respective specified time as agreed.
• Devic Earth Pvt Ltd. shall assume the responsibility, where in the Pure Skies System delivered is not as described to the buyer. In such a case buyer shall be able to cancel the order placed and shall receive the amount paid to Devic Earth Pvt Ltd. within two weeks after the product reaches Devic Earth Pvt Ltd.’s location. 
• In case Devic Earth Pvt Ltd. notices that the claim for the cancellation was a fraud, misrepresentation, or concealment, the sale stands void. The buyer shall be liable to send back the product to Devic Earth Pvt Ltd.’s/’ location without any delay and will have to refund the company for the Pecuniary costs incurred to get the Pure Skies System to the buyers location for the sale, as well for any damage incurred by company for any non-pecuniary damage or loss of reputation.

TECHNOLOGICAL UPGRADES

• Devic Earth will provide free technological upgradation for 1 year including both hardware and software.
• If any advances are made in technology that could improve the Air Quality Index by more than 15%, our customer would get the benefit of such upgradation for both hardware and software components within 1 year from the date of purchase for FREE.

FORCE MAJEURE

Devic Earth Pvt Ltd. and the buyer shall not be considered in default hereunder or be liable for any failure to perform or delay in performing any provisions of this Contract in the customary manner to the extent that such failure or delay is caused by any reason beyond its control, including any act of God. The Party whose performance has been interrupted by such circumstances shall use every reasonable means to resume full performance as promptly as possible.

All disputes are subject to Bangalore jurisdiction.
